1. Agreement to terms

By using BizPassage ("the Service"), you agree to these Terms of Service. If you don't agree, don't use the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to list the business you submit (as an owner, or as an authorized broker) to use the Service.

3. Accounts

You're responsible for the accuracy of your account information and for keeping your login credentials secure. Individual seller accounts are free. Business broker accounts require a paid Solo or Team subscription, billed monthly through Stripe.

4. Listings

You're solely responsible for the accuracy of the information in your listings, including financials, business details, and photos. Listing titles and descriptions may be drafted with AI assistance based on the details you provide — you must review and can edit this content, and you are responsible for it once published. Publishing is always a separate, explicit step you take; nothing is published automatically.

We may remove listings that are fraudulent, misleading, for a business you're not authorized to sell, or otherwise violate these terms.

5. Broker subscriptions

Broker Solo and Team plans are billed monthly via Stripe and include a listing limit and seat limit as described on our pricing page. You can manage, upgrade, downgrade, or cancel your subscription at any time through your billing dashboard. If your subscription lapses, you won't be able to create new listings until it's reactivated, but your existing published listings remain live.

6. AI-generated content and valuation estimates

AI-generated listing copy and any AI-assisted valuation estimate are provided as a convenience and starting point only. A valuation estimate is an automated, rule-based calculation for informational purposes — it is not a certified business appraisal, and should not be relied on for legal, tax, or financing decisions.

7. We are not a party to any sale

The Service is a place for sellers and buyers to connect. We are not a party to, and do not guarantee, broker, or facilitate the outcome of, any transaction between a buyer and a seller. Any agreement to buy or sell a business is solely between those parties.

8. Prohibited conduct

  • Posting false, fraudulent, or misleading listing information
  • Listing a business you don't own or aren't authorized to sell
  • Attempting to circumvent listing limits, RLS, or other technical safeguards
  • Using the Service for any unlawful purpose

9. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind. To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including reliance on listing content or AI-generated estimates.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate accounts that violate these terms.

11. Governing law

These terms are governed by the laws of [YOUR STATE], without regard to conflict-of-law rules.

12. Changes to these terms

We may update these terms as the Service changes. We'll update the "Last updated" date above when we do.
